desq reads the documents a construction business already produces and tells it what those documents say. It does not replace an accountant, a lawyer, or the judgement of the person running the job.

1. Who these terms are between

These terms are an agreement between desq, Inc., a Delaware corporation ("desq", "we"), and the business that opens an account ("you"). If you accept these terms on behalf of a company, you confirm you are able to bind it.

2. What desq does

desq receives documents you send or connect to it, reads them, and records what they say against your jobs: invoices, receipts, subcontracts, change orders, pay applications and the rest. It reconciles those records against each other and surfaces discrepancies for you to confirm or reject.

Everything desq produces from a document is a proposal until a person on your account accepts it. desq does not post costs, approve payables, pay anybody, or send anything on your behalf.

3. What desq is not

This section is the important one and it is written plainly on purpose.

4. Your responsibility for your own numbers

You remain responsible for your books, your billing, your payments and your filings. desq reads documents; it does not verify that a document is authentic, that the work described was performed, or that an amount is owed.

If desq and your accounting system disagree, desq shows you both figures and names the difference. It does not decide which is right, and you should not treat either as settled until you have.

5. Automated reading, and its limits

desq uses automated systems, including language models, to read documents and identify discrepancies. Those systems are wrong sometimes.

That is why nothing desq reads becomes a record in your books without a person accepting it, why every reading cites the document it came from, and why desq keeps what it got wrong alongside what it got right. You should read what desq proposes against the document beside it, which is how the product is built to be used.

6. Your account

7. Your data stays yours

You own your documents and the records desq builds from them. You grant desq the permissions it needs to receive, store, read and process them in order to provide the service, and nothing more.

desq does not sell your data and does not use it to train or improve any general purpose model. How it is handled, who touches it, and how long it is kept are set out in the privacy policy, which forms part of these terms.

You can export your data, and you can ask us to delete it. Some records are append-only by design, because a register that can lose things is not a register; deletion removes the account and its contents rather than editing history in place.

8. Fees

Subscription fees, any trial or deferred period, and the terms on which billing begins are set out in the order or offer you accept when you open an account. Where a period is offered before billing starts, you may cancel during it and owe nothing.

Fees are stated exclusive of taxes. Fees already invoiced are not refundable except where the law requires it.

9. Third party services

desq connects to services you authorise, such as your email provider or your accounting software, using permissions you grant and can withdraw at any time from that provider. Those services are governed by their own terms, and their availability, accuracy and behaviour are not within our control.

10. Availability

desq is provided as it is. We do not promise it will be uninterrupted or free of faults, and we do not currently offer a service level commitment. We will tell you about planned interruptions where we reasonably can.

11. Warranties

To the fullest extent the law allows, desq is provided without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

In particular, we do not warrant that desq will identify every discrepancy in your records, that what it identifies is complete, or that what it reads from a document is correct. It reads documents and puts what it read in front of a person.

12. Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, however caused.

Our total liability arising out of or relating to these terms will not exceed the fees you paid us in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.

13. Ending it

You may close your account at any time. We may suspend or close an account that breaches these terms, or that we are required to close by law, and we will tell you why unless we are prevented from doing so.

When an account closes you may export your data first. Sections 3, 7, 11, 12 and 15 survive.

14. Changes to these terms

We may change these terms. If a change is material we will tell account owners before it takes effect, and continuing to use desq after that means you accept it. The effective date at the top of this page is always current.

15. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. The courts of Delaware have exclusive jurisdiction, and each party consents to that jurisdiction.
